The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of certain assets of MásMóvil, of Spain, by Aberdeen Group (‘Aberdeen’) of the Netherlands, Macquarie Group (‘Macquarie’) and Arjun Infrastructure Partners Limited (‘AIP’), both of the UK.

The assets of MásMóvil consist of a fibre-to-the-home network that will be operated by Uclés Infraco, S.L., of Spain, and will provide wholesale broadband internet access services in Spain. Aberdeen is an asset manager active in transportation, social infrastructure, waste and water treatment, and clean energy production networks. Macquarie is a global investment bank and financial services provider covering resources and commodities, green and conventional energy, financial institutions, infrastructure and real estate. AIP is an asset management company active in transportation, renewable energy, integrated power utility and energy distribution.

The Commission concluded that the proposed acquisition would raise no competition concerns, given the very limited horizontal overlaps and the absence of vertical relationships between the companies’ activities. The transaction was examined under the simplified merger review procedure.
