The European Commission has approved, under the EU Merger Regulation, the acquisition of sole control of Sanistål A/S by Ahlsell Danmark ApS (‘Ahlsell’), both of Denmark. Sanistål provides a wide assortment of products mainly for plumbing, heating, ventilation, air conditioning, as well as tools and supplies for industrial and construction use in Denmark and the Baltics. Ahlsell is a retailer and distributor, mainly of installation products, as well as tools and supplies, to professional customers in the Nordic region. It is controlled by CVC Capital Partners SICAV-FIS S.A. (‘CVC’) of Luxembourg. CVC is a global investment manager focused on private equity, secondaries and credit. After a partial referral of the transaction to the Danish competition authority pursuant to Article 4(4) of the EU Merger Regulation in relation to the Danish markets on 14 October 2022, the scope of the Commission’s review was limited to the European Economic Area, excluding the Danish markets. The Commission concluded that the proposed acquisition would raise no competition concerns, given the limited horizontal overlaps and vertical links between the companies’ activities. The transaction was examined under the simplified merger review procedure.
