The European Commission has approved, under the EU Merger Regulation, the acquisition of sole control of Sisal S.p.A. of Italy by Flutter Entertainment plc (‘Flutter’) of Ireland. Sisal is a betting, gaming and lottery services provider predominantly active in Italy, with operations also in Spain, Morocco and Turkey. Flutter provides sports betting, gaming and entertainment services worldwide.
On 1 July 2021, the Commission adopted a decision referring the assessment of the effects of the transaction on the relevant markets in Italy to the competent authority in Italy. The current decision relates to the assessment of the transaction’s effects on the relevant European markets outside of Italy. The Commission concluded that the proposed acquisition would raise no competition concerns, given its limited impact on the markets outside of Italy. The transaction was examined under the simplified merger review procedure.
