The European Commission has approved, under the EU Merger Regulation, the acquisition of World Human Intelligence Co., Ltd (‘WHI’) of Japan by Bain Capital Investors, LLC (‘Bain Capital’) of the US and Apfarge Investments Pte Ltd. (‘Apfarge’) of Singapore.
WHI develops and provides enterprise resource planning software, with a specific focus on software for the management of human resources such as headcount management and payroll, employee self-service and attendance management. Bain Capital manages investment funds in companies across a variety of industries. Apfarge manages a diversified global portfolio of investments in private equity, venture capital and infrastructure funds.
The Commission concluded that the proposed acquisition would raise no competition concerns, given that WHI does not have any actual or foreseen activities in the European Economic Area. The transaction was examined under the simplified merger review procedure.
