The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Bip & Drive E.D.E. S.A. (‘Bip & Drive’) by Cintra Infraestructuras España, S.L. (‘Cintra’), Abertis Autopistas España, S.A. (‘Abertis’) and Itínere Infraestructuras (‘Itínere’), all of Spain.

Bip & Drive is a distributor of electronic toll payment devices for Spanish motorways. Cintra is active in the construction, improvement, maintenance and management of roads and motorways and handles toll road concessions in Spain. Abertis belongs to the Abertis Group which manages mobility and telecommunications infrastructure globally. Itínere manages motorway concessions in Spain.

The Commission concluded that the proposed acquisition would raise no competition concerns, because of its limited impact on the market.

The transaction was examined under the normal merger review procedure. More information is available on the Commission’s competition website, in the public case register under the case number M.10561.
