The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Duffle Travel Retail Platform GmbH (‘Duffle’) by GHARAGE Ventures GmbH (‘Gharage’), both of Germany, Dufry International AG (‘Dufry International’) of Switzerland and Takeaway.com Central Core B.V. (‘JET Central Core’) of the Netherlands.
The transaction relates primarily to the travel retail industry, in particular to the operation of an online marketplace for travel retail and delivery services at airports.
The Commission concluded that the notified transaction would not raise competition concerns, given that the joint venture has negligible activities in the European Economic Area. The notified transaction was examined under the simplified merger review procedure.
