The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Bike Mobility Services B.V (‘BMS’) of the Netherlands by Volkswagen Financial Services AG (‘VWFS’) of Germany and Pon Bicycle Holding B.V. (‘Pon.Bike’) of the Netherlands.

The transaction relates primarily to the bike leasing sector.

The Commission concluded that the notified transaction would not raise competition concerns, given its limited impact on competition in the markets where the companies are active. Despite the existence of vertical overlaps between the parties, the Commission concluded that there would be no risk of foreclosure arising from the transaction. The notified transaction was examined under the normal merger review procedure.
