The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of FTAPI Software GmbH (“FTAPI”) by Armira GmbH & Co. KG (“Armira Group”), both based in Germany, and Tikehau Capital SCA (“Tikehau Capital”), based in France.
The transaction primarily affects the enterprise application software sector, including secure data exchange and file transfer services.
The Commission concluded that the proposed merger would not raise competition concerns, given FTAPI’s limited activities in the European Economic Area and the limited market positions of the companies concerned resulting from the proposed transaction. The notified transaction was examined under the simplified merger control procedure.
