Thyssenkrupp, a German industrial group, and Tata Steel, a company headquartered in India, are active in the manufacture and supply of flat carbon steel and magnetic steel products. Their production centres are located in Germany, the United Kingdom and the Netherlands respectively. The companies also have finishing plants in other Member States.

On September 25, 2018, the two companies notified the Commission under the Merger Regulation of their plans to acquire joint control of a newly created joint venture. The project mainly concerned metal-coated and rolled steel products for packaging and hot-dip galvanised steel products used in the automotive sector.

Following discussions with the companies involved and requests for information from a number of market participants, including competitors and customers, the Commission declared the transaction incompatible with the internal market and the European Economic Area by decision of June 11, 2019 (see summary of the decision).

Thyssenkrupp brought an action for annulment of the Commission’s decision before the General Court of the European Union. In its judgment of June 22, 2022, the General Court rejected all the arguments put forward by the company and confirmed the Commission’s decision  (T-584/19, see also press release 110/22).

Thyssenkrupp then appealed to the Court of Justice against the judgment of the General Court.

Untersagung der Gründung eines Gemeinschaftsunternehmens durch Tata Steel und ThyssenKrupp

Mit Beschluss vom 11. Juni 2019 untersagte die Kommission die Gründung eines Gemeinschaftsunternehmens durch Tata Steel und ThyssenKrupp nach der EU-Fusionskontrollverordnung. Nach Ansicht der Kommission würde ein solches Gemeinschaftsunternehmen den Wettbewerb einschränken und hätte einen Anstieg der Preise bestimmter Stahlsorten zur Folge (siehe Pressemitteilung der Kommission IP/19/2948).

Tata Steel ist ein Stahlhersteller mit Hauptsitz in Indien, der weltweit in der gesamten Wertschöpfungskette für Kohlenstoffstahl und Elektrostahl tätig ist. Das Unternehmen verfügt über mehrere Produktionsstätten im EWR. Das deutsche Unternehmen ThyssenKrupp ist ein Industriekonzern, der in verschiedenen Wirtschaftszweigen tätig ist, u. a. in der Herstellung und Lieferung von Erzeugnissen aus Kohlenstoff-Flachstahl und Elektrostahl. Seine größten Produktionsstandorte für diese Erzeugnisse befinden sich in Deutschland.

ThyssenKrupp hat diese Untersagung vor dem Gericht der EU angefochten. Das Unternehmen macht u.a. geltend, dass die Kommission die nach dem Zusammenschluss bestehende Marktmacht falsch analysiert und die angebotenen Abhilfemaßnahmen durch ThyssenKrupp und Tata Steel nicht angemessen berücksichtige habe.

Mit Urteil vom 22. Juni 2022 wies das Gericht die Klage ab (siehe Pressemittelung Nr. 110/22).

ThyssenKrupp hat daraufhin ein Rechtsmittel beim Gerichtshof eingelegt. Ohne Schlussanträge.
