In March 2018, German energy companies RWE and E.ON announced their intention to carry out a complex exchange of assets through three merger transactions.
Through the first transaction, RWE – operating across the entire energy supply chain in several European countries – wished to acquire sole or joint control of certain generation assets of E.ON, an electricity supplier operating in several European countries.
The second transaction involved E.ON’s acquisition of sole control of the energy distribution and retail activities, as well as certain generation assets, of Innogy, a subsidiary of RWE.
The third transaction involved the acquisition of a 16.67% stake in E.ON by RWE.
The first and second mergers were reviewed and approved by the European Commission, while the third merger was reviewed and approved by the German Federal Cartel Office.
Eleven German municipal utilities challenged the Commission’s two approval decisions before the General Court of the European Union.
On May 17, 2023, the General Court dismissed the appeals against approval of the first transaction (purchase of E.ON’s generation assets by RWE), some on the merits, others on the grounds of inadmissibility (case T-312/20 | EVH v Commission).
The General Court must now decide on the municipal authorities’ challenges against the second transaction (E.ON’s acquisition of Innogy’s energy distribution and retail activities, as well as certain generation assets).

Übernahme von innogy durch E.ON
Im März 2018 haben die beiden deutschen Energieunternehmen RWE und E.ON angekündigt, im Wege dreier Zusammenschlüsse einen komplexen Austausch von Vermögenswerten vornehmen zu wollen.
Mit der ersten Transaktion wollte RWE bestimmte Vermögenswerte von E.ON im Bereich der Erzeugung von Öko- und Atomstrom erwerben. Die zweite Transaktion bestand darin, dass E.ON die alleinige Kontrolle über die Sparten Energieverteilung und -vertrieb sowie bestimmte Erzeugungsanlagen der innogy, einer Tochtergesellschaft von RWE, erwarb. Die dritte Transaktion sah den Erwerb einer Beteiligung in Höhe von 16,67 % an E.ON durch RWE vor.
Mit Beschluss vom 26. Februar 2019 genehmigte die Kommission die erste Transaktion (Erwerb von E.ON-Stromerzeugungsanlagen durch RWE, siehe auch Pressemitteilung der Kommission IP/19/1432)
Mit Beschluss vom 17. September 2019 genehmigte die Kommission auch die zweite Transaktion (Übernahme von innogy durch E.ON), unter Auflagen (siehe Pressemitteilung der Kommission IP/19/5582).
Die oben genannten kommunalen Stromerzeuger haben beide Kommissionsbeschlüsse vor dem Gericht der EU angefochten.
Die Klagen gegen die Genehmigung des Erwerbs von E.ON-Stromerzeugungsanlagen durch RWE wies das Gericht mit Urteilen vom 17. Mai 2023 ab (siehe Pressemitteilungen Nr. 81/23 und Nr. 82/23).
Das Gericht verkündet heute seine Urteile über die Klagen gegen die Genehmigung der Übernahme von innogy durch E.ON.
