The European Commission has approved, under the EU Merger Regulation, the creation of a joint venture by Nidec Motor Corporation (‘NMC’) and Embraer Aircraft Holding Inc (‘Embraer’), all of the US.
The joint venture, Nidec Aerospace LLC, will develop and manufacture electric propulsion systems for aeronautical applications.
The Commission concluded that the notified transaction would not raise competition concerns, given that the joint venture has negligible activities in the European Economic Area and that the companies’ combined market positions resulting from the proposed transaction are limited. The notified transaction was examined under the simplified merger review procedure.
