The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Tanqueray Topco Limited (‘TrustQuay’) of Jersey and Viewpoint Software Holding Pte. Ltd. (‘Viewpoint’) of Singapore by HgCapital LLP (‘Hg’) of the UK and EQT Fund Management S.à r.l. (‘EFMS’) of Luxembourg.
TrustQuay, currently controlled by Hg, and Viewpoint, currently controlled by EFMS, offer both entity management software services to trust, corporate and funds service providers. Hg is an investor in software and services businesses, mostly active in Europe and the US. EFMS is a private investment fund manager with investments primarily throughout the Asia Pacific region.
The Commission concluded that the proposed acquisition would raise no competition concerns, given the very limited horizontal overlaps and the lack of vertical links between the companies’ activities. The transaction was examined under the simplified merger review procedure.
