The European Commission has approved, under the EU Merger Regulation, the acquisition of Skyway Concession Company LLC of the US by Atlas Arteria of Australia and Ontario Teachers’ Pension Plan (‘OTPP’) of Canada.
Skyway Concession Company is the concessionaire of the Chicago Skyway toll road in Chicago (US) and has no activities in the European Economic Area. Atlas Arteria is a global owner, operator and developer of toll roads. It has a portfolio comprising four toll roads, of which two in France (APRR and ADELAC), one in Germany (Warnow Tunnel) and one in the US (Dulles Greenway). OTPP administers the pension benefits and the investment of pension plan assets of active and retired teachers in the Canadian province of Ontario.
The Commission concluded that the proposed acquisition would raise no competition concerns, given its limited impact on the market. The transaction was examined under the simplified merger review procedure.
