The European Commission has approved, under the EU Merger Regulation, the acquisition of sole control of SAG Integration US LLC of the US, a special purpose vehicle comprising the webMethods and StreamSets software products of Software AG of Germany (‘certain Software AG products’), by International Business Machines Corporation (‘IBM’) of the US.

The transaction relates primarily to the provision of enterprise middleware.

The Comission concluded that the notified transaction would not raise competition concerns, given its limited impact on competition in the markets where the companies are both active, as there is a sufficient number of alternative players. Moreover, the Commission found that the merged entity would not have the ability to engage in any foreclosure strategy. The notified transaction was examined under the normal merger review procedure.
