The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Fitzroy QLD Resources Limited (‘Fitzroy’) of the UK by ITOCHU Corporation (‘Itochu’) of Japan and AMCI Group LLC (‘AMCI’) of the US.

Fitzroy operates coal mines in Australia. Itochu is active in a wide range of industries, including metals, minerals and energy. AMCI is a natural resources investment company.

The Commission concluded that the proposed transaction would raise no competition concerns, given that Fitzroy does not have any actual or foreseen activities within the European Economic Area. The transaction was examined under the simplified merger review procedure.
