Brussels, 6 March 2023
The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of Sterling Pharma of the UK by Partners Group of Switzerland and GHO Capital Management of Cayman Islands.
Sterling Pharma provides contract development and manufacturing organisation services in relation to active pharmaceutical ingredients for small-molecule pharmaceuticals and antibody-drug conjugates. Partners Group is a private markets investment management company mainly focused on equity, real estate, infrastructure and debt. GHO Capital Management manages private equity funds with a main focus on global healthcare.
The Commission concluded that the proposed acquisition would raise no competition concerns, given Sterling Pharma’s limited activities in the European Economic Area and the companies’ minimal combined market position resulting from the proposed transaction.
The transaction was examined under the simplified merger review procedure. More information is available on the Commission’s competition website, in the public case register under the case number M.11026.
