The European Commission has approved, under the EU Merger Regulation, the acquisition of joint control of German LNG Terminal GmbH (‘GLNG’) by KfW, both of Germany, and Nederlandse Gasunie of the Netherlands. GLNG will build, own, and operate a Liquefied Natural Gas (‘LNG’) regasification facility in Brunsbüttel, Germany. Its envisaged scope is the operation of an LNG import and distribution terminal. KfW is a national promotional bank aiming to support the sustainable improvement of economic, social and environmental conditions worldwide. Nederlandse Gasunie develops, manages and maintains energy infrastructure, such as gas transport networks, pipelines, storage facilities, gas conversion installations and LNG infrastructure, as well as virtual gas trading platforms. The Commission concluded that the proposed acquisition would raise no competition concerns, given the absence of overlaps between the companies’ activities in the European Economic Area. The transaction was examined under the simplified merger review procedure.
